If informal resolution fails, you and Gheware agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (except disputes related to intellectual property rights) shall be resolved through binding arbitration administered by an arbitration body mutually agreed upon, in accordance with its rules. The arbitration shall take place in Mumbai, India, in English.

CLASS ACTION WAIVER: You and Gheware agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14.5 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information without first engaging in arbitration.

14.6 Time Limitation on Claims

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision is void.

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Gheware. You have no authority to bind Gheware or incur obligations on our behalf.

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. or international embargo or export restrictions.

These Terms are provided in English. Any translation is provided for convenience only. In the event of conflict between English and translated versions, the English version shall prevail.
